Terms of Service

Effective Date: January 1, 2025

Welcome to WBI Consulting Group (“WBI,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of WBI’s services, including consulting, marketing support, and digital solutions, as well as any associated websites, workshops, tools, and communications (collectively, the “Services”).

By engaging with our Services, you agree to these Terms. If you do not agree, you must not use our Services.


1. Scope of Services

WBI specializes in providing marketing, consulting, and operational support tailored to membership-based organizations such as country clubs and yacht clubs. The specific scope of services, deliverables, and timelines will be outlined in a mutually agreed-upon proposal or contract.

1.1 Service Offerings

  • CompassPoint Workshops for strategic planning
  • Marketing services (content creation, social media management, SEO, PPC, etc.)
  • Membership growth and engagement strategies
  • Brand visibility initiatives
  • Operational consulting

2. Client Responsibilities

To ensure successful collaboration, you agree to:

  • Provide timely access to relevant club data, resources, and personnel as needed.
  • Actively engage with WBI during planning and execution phases.
  • Maintain compliance with applicable laws, including those governing member communications and data privacy.

3. Fees and Payment

3.1 Pricing Plans

Our Services are offered under tiered plans (Essentials, Business, Enterprise) or custom pricing as specified in your agreement.

3.2 Payment Terms

Payment for all services is due within 30 days of invoice issuance. Late payments may incur a fee of 1.5% of the outstanding balance per month or the maximum amount permitted by law.

3.3 Refund Policy

Refunds are only provided for unused services within 30 days of payment and subject to a 10% administrative fee. Refunds are not available for completed workshops, one-time project fees, or services rendered before cancellation.


4. Intellectual Property

All deliverables and content created by WBI are the intellectual property of WBI Consulting Group unless otherwise specified. Clients are granted a limited, non-transferable, revocable license to use materials solely for internal purposes during the contract period. Intellectual property rights may transfer to the client upon written agreement and additional fees.


5. Confidentiality

Both parties agree to keep all proprietary, strategic, and sensitive information confidential. This obligation remains in effect for a period of two years after the termination of the agreement, except as required by law or with mutual consent.

7. Service Warranties

WBI commits to delivering Services with reasonable care and skill. However, we do not guarantee specific results or outcomes unless expressly stated in your agreement.

7.1 Limitations of Liability

To the fullest extent permitted by law, WBI shall not be liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of profits, revenues, or data arising from your use of our Services.

Our total liability is limited to the amount paid for the Services in the preceding 12 months.


8. Termination

8.1 Termination by Client

Clients may terminate the agreement with a 30-day written notice. If termination occurs before the completion of agreed-upon services, an early termination fee equivalent to one month’s service fee will apply.

8.2 Termination by WBI

WBI reserves the right to terminate the agreement for non-payment, breach of these Terms, or actions that disrupt service delivery. Examples include failure to provide required resources or engaging in unlawful activities.


9. Amendments

WBI reserves the right to update these Terms. We will notify clients of significant changes via email or the client portal. Continued use of our Services after changes are effective constitutes your acceptance of the revised Terms.


10. Governing Law

These Terms are governed by the laws of Nevada, United States, and any disputes shall be resolved exclusively in the courts of Las Vegas, Nevada.
